This End User License Agreement “EULA” is a legal Agreement between you and APK Type. By receiving, purchasing, downloading, installing, using or otherwise handling our Fonts, you accept the terms of this binding Agreement. This Agreement replaces and supersedes any previous Agreements between you and APK Type. Please read the whole EULA carefully before agreeing to its terms and conditions. Thank you. Grant of License Upon payment in full, you will be granted a non-exclusive, terminable and non-transferable License to use the Fonts that accompany this EULA. You may not exceed the scope of this License. License/Ownership We’ve adopted a License model in where a License is based on the number of employees; the bigger the company, the greater (the reach of) their output with the Fonts, and thus the more expensive the License. The company size, measured in employees, is the only metric you apply to license fonts through APK Type. The purchase of our Fonts makes you a licensed user of the Fonts, not an owner. Intellectual Property Rights APK Type retain intellectual property rights, title and ownership in the Licensed Font(s), Web- and App font(s) and all other electronic data provided and showcased by APK Type. The Fonts are protected under the Dutch article of law ‘Auteursrecht’ (BWBR0001886) and equivalent international laws and treaties. Designer/Client It is always the client that is the Licensee of the Fonts. If you are an agency, studio, designer etc. note that the client/brand brand is the end user of the Fonts; the client/brand needs to purchase the font License. You can make the purchase on your clients’ behalf, but the License should always reflect the end user’s (read client/brand’s) company size, and not your agency or design studio’s company size. When you’d like to use our Fonts in your own branding or in any other type of commercial project you do for your own brand/company you’ll need to purchase your own License. Trial Fonts You can download our Trial Fonts to decide if you want to buy a License. As a designer you can also use the Trial Fonts for design proposals for clients. By downloading our Trials you automatically opt in for our newsletter. We only send 1-3 newsletters per year and you can unsubscribe at any time. License Model We’ve adopted a License model in where a License is based on the number of employees in the end user’s company (not meaning: the number of users). The logic behind the model being: the bigger the brand or company, the greater the reach of their output with the Fonts, and thus the more expensive the License. License Metric The company size, measured in employees, is the only metric you apply to license fonts through APK Type. The purchase of our Fonts makes you a licensed user of the Fonts, not an owner. All License fees are one-time fees. But you are obligated to upgrade your License to reflect your current company size and font usage respectively. Our Licenses Desktop License With a Desktop License you can install the fonts on all of your devices to create printed and digital documents, objects, merchandise, signage, and similar things. It is permitted to use the Fonts in the creation of design works, images for websites, social media posts and otherwise for your personal use. Note regarding Logo design: with a Desktop License you can convert the font to outlines to edit the outlines however you may, but you cannot include the typeface design in any trademark registration. Web License Using the Fonts on a website requires a Web License. With a Web License you can use the Fonts on one web domain with the @font-face CSS method. You are only allowed to use the WOFF and WOFF2 files. It’s prohibited to put online and/or link to any other file format (like TrueType or OpenType for example). It’s also prohibited to generate desktop/print fonts from files received with a web license. If the end user’s company expands at any point you are required to buy additional Licenses. App License With an App License, you can embed the Fonts into one app (mobile app, web app, digital point of sale system, etcetera). Embedding of the Fonts in other software or devices or in any other form requires the purchase of a Special (not specified here) or Unlimited License. Please contact us to acquire an App (or Special) License. Unlimited License An Unlimited License combines the rights granted by our Desktop, Web and App licenses, with no limits and no time restrictions. With an Unlimited License you pay a one-time fee and get unlimited use-rights across all media, independent of future company size or future needs, with no limits and no time restrictions (read: in perpetuity). Permitted use This product is licensed only to you and may not be transferred to any third party at any time without the prior written consent of APK Type. You may not modify, translate, adapt, alter, decompile, disassemble, decrypt, reverse engineer, change or alter the embedding bits, the font name, legal notices contained in the Fonts, nor seek to discover the source code of the font data, convert into another font format, create bitmaps, add or subtract any glyphs, symbols or accents, or any other derivative works based on the electronic data in this product. You may not commission a third party to modify the Fonts. Third parties The Font is licensed only to the buyer and may not be transferred to any third party at any time. You must ensure that recipients of (PDF) documents cannot extract the APK Type Fonts or use the embedded Fonts for editing purposes or for the creation of new documents. Custom fonts We offer full customization service to all of our Fonts; from just a few glyphs to whole weights and families. Exclusive Licenses may be purchased with custom and/or customized Fonts. Exchange Purchases are final. However, if you have purchased the wrong weight/style of a Font, please get in touch for a possible exchange. Character set The character set of an APK Type font is purchased as is; the Licensee accepts this number of characters in a font set. APK Type is not obligated to provide additional characters for free. Breach It is a breach of this License Agreement to use the product in any way that infringes the rights of any third party under copyright, trademark, patent or any other laws. In the event of infringing uses by you, this License immediately terminates. Warranties APK Type makes no warranties express or implied as to merchantability, fitness for a particular purpose, or otherwise. Liability Under no circumstances shall APK Type be liable to you or any other party, whether in contract or tort (including negligence) or otherwise, for any special, consequential, or incidental damages, including lost profits, lost savings or business interruption as a result of the use of the Fonts. All Fonts installed is done so at the Licensee’s risk and we will not be held responsible. Termination Any violation by Licensee of this Agreement shall cause this License to be terminated. We will take legal action if you are found to be using our Fonts illegally. APK Type may update this License Agreement at any time without prior consent and/or notice. General You agree to inform your employees or any other person having access to the APK Type Font(s) of the terms and conditions of this Agreement and to ensure that they shall strictly abide by these terms and conditions. Legal This License Agreement shall be governed by and construed in accordance with the law of the Netherlands. The courts of the Netherlands shall have exclusive jurisdiction to settle any dispute or claim.
